Sweepstakes Rules and Guidelines

These Sweepstakes Rules and Guidelines (the "Rules") govern the TFDi Design Co. ("TFDi Design", "we", "us") sweepstakes/giveaway (the "Sweepstakes"). By participating, you agree to these Rules and to TFDi Design's decisions, which are final and binding to the extent permitted by law.
1. No Purchase Necessary
No purchase is necessary to enter or win the Sweepstakes. A purchase does not increase your chances of winning.
2. Eligibility
The Sweepstakes is open only to individuals who, at the time of entry:
- are at least eighteen (18) years old; and
- have a registered TFDi Design account in good standing.
Employees of TFDi Design, its affiliates, subsidiaries, advertising and promotion agencies, prize suppliers, and their immediate family members and/or those living in the same household are not eligible.
The Sweepstakes is subject to all applicable federal, state/provincial, and local laws and regulations. Void where prohibited by law.
3. Agreement to Rules
By participating, each participant ("Entrant") agrees:
- to be fully bound by these Rules,
- to meet all eligibility requirements, and
- that TFDi Design's determinations regarding eligibility, entry validity, and winner selection are final and binding.
4. Entry Period
The Sweepstakes entry period begins and ends on the dates/times specified in the Sweepstakes announcement (the "Entry Period").
5. How to Enter
To enter, you must:
- have a registered TFDi Design account, and
- complete the entry method specified in the Sweepstakes announcement during the Entry Period.
Entries may be disqualified if they are incomplete, inaccurate, or not in accordance with these Rules.
Limits may apply to the number of entries per person/account as stated in the Sweepstakes announcement.
TFDi Design may disqualify any Entrant who attempts to circumvent the rules using multiple accounts, automated means, fraudulent activity, or other improper methods.
6. Prizes
Prizes are described in the Sweepstakes announcement.
Prizes are non-transferable and not convertible to cash unless required by law. TFDi Design may substitute a prize (or portion of a prize) with a prize of equal or greater value where permitted by law.
Unless otherwise stated in the Sweepstakes announcement, winner is solely responsible for all costs and expenses associated with acceptance and use of a prize, including any applicable taxes and fees, where permitted by law.
7. Odds
Odds of winning depend on the number of eligible entries received.
8. Winner selection
Potential winners will be selected from all eligible entries by random drawing under TFDi Design's supervision, on or about the date specified in the Sweepstakes announcement (or as otherwise permitted by law).
9. Winner Notification and Claim
Potential winners will be notified using the contact information associated with the winner's TFDi Design account or as otherwise specified in the Sweepstakes announcement.
TFDi Design is not responsible for a winner's failure to receive notifications due to spam filters, incorrect contact information, or similar issues.
To claim a prize, potential winners must follow the instructions in the notification within the claim period specified in the Sweepstakes announcement (or within a commercially reasonable timeframe if not specified).
If a potential winner:
- cannot be contacted within the applicable timeframe,
- fails to comply with the claim requirements, or
- is disqualified under these Rules,
that prize may be forfeited and an alternate winner selected, subject to applicable law.
10. Disqualification
TFDi Design may disqualify an Entrant if TFDi Design determines, in its sole discretion, that the Entrant:
- is ineligible,
- submitted an invalid or non-compliant entry,
- violated these Rules, or
- attempted to undermine the Sweepstakes.
11. Modification, Suspension, or Termination
TFDi Design may cancel, suspend, or modify the Sweepstakes if it is not capable of being administered as planned due to fraud, technical failures, errors, unauthorized human intervention, or other causes beyond TFDi Design's reasonable control.
If an integrity event occurs, TFDi Design may select winners from eligible entries received up to the applicable point, or as otherwise permitted by law.
12. Limitation of Liability
To the maximum extent permitted by law, TFDi Design Co. and its affiliates, officers, directors, employees, agents, and suppliers will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, or goodwill, arising out of or relating to:
- Your use of or inability to use the services, website, or software;
- Any third-party content or services; or
- Any breach of this agreement, even if advised of the possibility of such damages.
TFDi Design Co.'s total liability for all claims arising out of or relating to this agreement or the services, website, or software will not exceed the amounts you paid to TFDi Design Co. for the applicable subscription or license preceding the event giving rise to the claim. Some jurisdictions do not allow certain limitations of liability, so some of the above limitations may not apply to you.
Nothing in these Rules limits liability where prohibited by applicable law.
13. Disputes and Arbitration
Except as otherwise required by applicable law, disputes relating to the Sweepstakes will be resolved in accordance with the terms below.
Please read this section carefully. It requires disputes to be resolved by binding arbitration and limits the ability to pursue claims in court, including as a part of a class action.
- Agreement to Arbitrate
Except as provided in Section 13(d) (Small Claims) and 13(e) (Court for Injunctive Relief), you and TFDi Design Co. agree that any dispute, claim, or controversy arising out of or relating to this Agreement, your use of the services, website, or software, or any aspect of the relationship will be resolved by binding arbitration on an individual basis.
This arbitration agreement is intended to be enforced to the maximum extent permitted by law.
- Arbitration Rules and Administrator
The arbitration will be conducted by JAMS under its applicable rules and procedures, as modified by this Section. The arbitration will be conducted by a single arbitrator.
- Seat, Governing Law, and Procedure
The arbitration will take place in Florida, USA. The arbitrator will apply Florida law (without regard to conflict-of-law rules). The Federal Arbitration Act (FAA) will govern the interpretation and enforcement of this arbitration agreement to the extent applicable.
The arbitrator may award any relief permitted by this Agreement and by applicable law.
- Small Claims Carve-Out
Either party may bring an individual lawsuit in small claims court in Florida to the extent the dispute qualifies for small claims jurisdiction. This does not allow class or representative actions.
- Injunctive/Equitable Relief Carve-Out
Notwithstanding the agreement to arbitrate, either party may seek injunctive or other equitable relief in a court of competent jurisdiction for:
- alleged infringement, misappropriation, or violation of intellectual property rights; or
- enforcement of confidentiality obligations; or
- preventing unauthorized access to accounts or systems.
Any such court action will not be considered a waiver of arbitration of the remaining claims.
- Class Action Waiver
You and TFDi Design Co. agree that each of us may bring disputes against the other only in an individual capacity, and not as a plaintiff or class member in any class action, collective action, or representative action.
The arbitrator may not conduct any class, collective, or representative proceeding, and the parties agree that no such proceeding may be brought in court or arbitration.
- Attorney's Fees
Unless prohibited by applicable law, the arbitrator may award reasonable attorney's fees and costs to the prevailing party (or as otherwise provided under applicable law).
- Opt-Out
You may opt-out of arbitration within 30 days of first accepting these terms by emailing [email protected]
14. Privacy
Personal information collected from Entrants will be used for the purposes of administering the Sweepstakes, determining and contacting potential winners, and fulfilling prizes, as described in these Rules and in our Privacy Policy.
15. Social Media Platforms
The Sweepstakes is in no way sponsored, endorsed, administered by, or associated with any social media platform (unless explicitly stated in the Sweepstakes announcement). Any questions must be directed to TFDi Design and not to the social media platform.
