Virtual Airline Operations License

This Virtual Airline Operations License ("VAOL") is a product-specific addendum to the Subscription Terms for TFDi Design Co. ("TFDi Design", "we", "us"). This VAOL governs the Virtual Airline's ("you") right to access and use smartCARS as part of your active subscriptions.
1. Definitions
- "smartCARS" means the TFDi Design flight tracking software and related files, components, and documentation identified as smartCARS.
- "Virtual Airline" or "VA" means the organization account under which you receive access to smartCARS.
- "Subscription Terms" means the TFDi Design subscription terms governing your account, access, and use.
2. Order of Precedence
To the extent of any conflict between this VAOL and the Subscription Terms, the Subscription Terms control regarding subscription/account matters (including cancellation/non-renewal, limitation of liability, and dispute resolution). This VAOL controls for smartCARS-specific rules stated here.
3. Subscription-Based Access
smartCARS access is provided solely through your active subscription(s). TFDi Design does not offer financed or installment licensing for smartCARS.
4. License Scope
Subject to your compliance with the Subscription Terms and this VAOL, TFDi Design grants you a limited, non-transferable, non-exclusive right to access and use smartCARS for your Virtual Airline operations during your subscription term.
5. No Per-Pilot Charging
You may not charge, bill, or otherwise require per-pilot payments (or fees based on the number of pilots/users) for access to or use of smartCARS.
Nothing in this VAOL restricts you from charging your pilots or members for unrelated Virtual Airline services, provided that such charges do not function as per-pilot payments for smartCARS access or use.
6. No Redistribution Beyond Your Virtual Airline
You may not redistribute smartCARS, or any portion of it, to users outside your Virtual Airline organization except as expressly permitted by the Subscription Terms (if any) and this VAOL.
7. No Misrepresentation of Origin
You agree not to advertise smartCARS as proprietary software owned by your Virtual Airline, and not to otherwise obscure, misrepresent, or obfuscate the origin of smartCARS.
8. Forbidden Content and Infringement-Related Termination
TFDi Design may suspend or terminate your VAOL and/or subscription access if smartCARS is used as part of activities that TFDi Design reasonably determines involve:
- stolen, illegal, or unauthorized content distribution, or
- blatant copyright or intellectual property infringement, or
- other unlawful activity that TFDi Design determines creates legal, reputational, or security risk.
TFDi Design may suspend or terminate access based on legally admissible evidence and where reasonably necessary to address the infringement or unlawful activity.
9. Logos and Third-Party Assets
Logos, icons, and other branding assets (“Brand Assets”) used for fulfillment of smartCARS subscriptions may be provided to TFDi Design by you and/or sourced through publicly accessible information related to your Virtual Airline, as TFDi Design determines is reasonably necessary for a smartCARS subscription.
You represent and warrant that:
- you have the right to provide any Brand Assets you submit to TFDi Design,
- providing and permitting TFDi Design to use, reproduce, host, distribute, and display your Brand Assets for the limited purpose of fulfilling and operating smartCARS for your Virtual Airline does not infringe or violate any rights of any third party.
If TFDi Design uses publicly accessible information to source Brand Assets on your behalf, you expressly authorize TFDi Design to use and process those Brand Assets solely for fulfillment and operation of smartCARS for your Virtual Airline.
To the maximum extent permitted by law, you agree to indemnify, defend, and hold harmless TFDi Design from and against any claims, damages, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to Brand Assets associated with your Virtual Airline, including claims that such Brand Assets infringe or violate any third-party rights.
10. Support
Support for smartCARS is available via the support ticket system at https://support.tfdidesign.com.
11. Dispute Resolution
Any disputes arising out of or related to your smartCARS subscription and use of smartCARS are subject to the arbitration agreement and dispute resolution provisions in the Subscription Terms, to the extent applicable.
12. Acceptance
By creating your smartCARS subscription account and/or using smartCARS in an administrative capacity, you acknowledge that you have read, understood, and agree to this VAOL and the Subscription Terms.
